Terms of Service

1. Acceptance of Terms

By engaging Results Digital for any service, you agree to be bound by these Terms of Service (“Agreement”). This Agreement is entered into by and between Douloi Inc. d.b.a. Results Digital (“Agency,” “we,” or “us”) and the subscribing business (“Client” or “you”). If you do not agree to these terms, you may not access or use our services. You must be at least 18 years of age and have authority to enter into legally binding agreements to use our services.

2. Overview

Results Digital provides high-performance digital marketing services exclusively for service-based companies. Our goal is to help you dominate your local market through structured, results-driven services in the areas of website design, SEO, Google Ads, Microsoft Ads, LSA management, and paid social advertising.

3. Scope of Services

3.1 SEO Explosion

Additional GBP locations or Power Boost available.

• Comprehensive on-page content writing (content is yours to keep upon cancellation)
• Google Business Profile (GBP) optimization, posts, and management
• Keyword research and tracking
• Internal linking and schema implementation
• Backlink building
• Directory citations
• Press releases
• Content syndication
• Reddit posting
• Technical and on-page SEO audits
• Google Search Console, Analytics, and performance monitoring
• Monthly reports with call tracking and lead audits

Important: Backlinks, directory citations, and enhanced schema are the intellectual property of Results Digital and will be removed upon cancellation. All written on-page content remains yours.

3.2 Google Ads Management

We never charge a percentage of ad spend. Flat rate only.

• Custom landing pages per ad group or DSA page feed setup
• Search campaigns
• Conversion tracking with call and form audits
• Daily performance checks and optimizations
• Negative keyword management
• A/B ad testing
• Quality score optimization

3.3 Microsoft Ads Management

We never charge a percentage of ad spend. Flat rate only.

• Custom landing pages per ad group or DSA page feed setup
• Search campaigns
• Conversion tracking with call and form audits
• Daily performance checks and optimizations
• Negative keyword management
• A/B ad testing
• Quality score optimization

3.4 LSA (Local Service Ads) Management

• Weekly rating and review of leads
• Regular addition of fresh images

3.5 Facebook Ads Management

We never charge a percentage of ad spend. Flat rate only.

• Facebook and Instagram ads tailored for service businesses
• High-converting landing pages
• High-converting instant form campaigns
• Engagement, prospecting, and retargeting campaigns
• Local and neighborhood targeting
• Ad creative writing and testing
• Real-time lead validation
• Weekly reporting

3.6 YouTube Ads — Lead Generation

Goal: generate roofing leads directly from YouTube through prospecting and retargeting campaigns. Ad spend is separate and goes directly to Google — not through Results Digital.

• Cold prospecting campaign targeting in-market homeowners, competitor site visitors, and high-intent search audiences
• Website visitor retargeting campaign — bottom-of-funnel video ads served to warm prospects
• Custom intent audience building (roofing search terms, insurance sites, lead gen platforms)
• Lookalike audience development from website visitor data
• Weekly campaign optimization
• Micro-conversion tracking setup to improve Google’s targeting signal over time
• Attribution framework: direct traffic baseline, branded search lift (GSC), cross-network traffic, and Media Efficiency Ratio (MER) tracking
• Monthly reporting on brand lift and lead attribution

Bundle: Clients who subscribe to both Section 3.2 and Section 3.6 receive both services at a discount.

3.7 TikTok Ads Management

We never charge a percentage of ad spend. Flat rate only.

• TikTok ads tailored for service businesses
• High-converting landing pages
• Engagement, prospecting, and retargeting campaigns
• Local and neighborhood targeting
• Ad creative writing and testing
• Real-time lead validation
• Weekly reporting

3.8 Website Design Subscription

• Professionally built, professionally managed website — done for you, start to finish
• Design built for service contractors, intended to convert visitor traffic into calls and estimate requests
• Instant lead capture via web forms
• On-page SEO foundation included: optimized titles, meta tags, schema markup, and page speed optimization. This does not include an ongoing SEO campaign (see Section 3.1)
• Google review display widget, showing Client’s live Google reviews
• Hosting, backups, and security included
• Reasonable website updates and modifications included, submitted by Client and completed within 14 business days. Results Digital reserves the right to decline or separately quote requests that constitute a substantial redesign, a new website build, or a volume of requests inconsistent with reasonable ongoing maintenance
• No long-term contract. Client may cancel at any time, effective at the end of the current billing cycle
• This service is not subject to the market exclusivity described in Section 7
• This service does not transfer ownership of the website, its design, code, or template to Client at any time, including upon cancellation (see Section 6.1)

4. Payment Terms

• Subscriptions are billed monthly on either the 1st or 10th of each month
• Payments are auto-drafted via ACH or credit card
• Credit card payments incur applicable processing fees
• Non-payment may result in service interruption or termination
• All outstanding fees are due in full upon cancellation

5. Refund Policy

All digital marketing services: SEO, Google Ads, Microsoft Ads, LSA, and Facebook Ads services are non-refundable once services have commenced, due to the nature of the labor and platform involvement.

The Website Design Subscription (Section 3.8) carries a 30-day money-back guarantee from the date of initial signup. This guarantee applies only to the initial signup period and does not apply to subsequent months of an ongoing subscription, nor to any other service listed in this Agreement.

6. Ownership of Work

• Clients own 100% of on-page website content we create
• Clients own their advertising accounts (Google Ads, Microsoft Ads, Meta Ads) and may access them upon termination
• Backlinks, directory listings, press releases, and advanced schema created through our SEO services remain the intellectual property of Results Digital and will be removed upon cancellation
• Client retains their domain at all times

6.1 Website Design Subscription Ownership

Websites built and managed under the Website Design Subscription (Section 3.8) remain the property of Results Digital at all times. Client is granted a license to use the website for as long as Client’s subscription remains active and in good standing. Upon cancellation or termination of the subscription for any reason, Client’s access to the website ends, the website may be taken offline, and no ownership, code, design files, or template transfers to Client. This differs from Section 6’s general provision regarding on-page content for other services; on-page written content created specifically for Client under the Website Design Subscription remains Client’s property and will be provided upon request within a reasonable time following cancellation, but the website itself, its design, and its underlying template do not transfer.

7. Service Exclusivity

Results Digital works with one service company per industry per geographic service area for all services described in Section 3, with the exception of the Website Design Subscription (Section 3.8), which is not exclusive and may be sold to multiple companies within the same trade and market, including direct competitors.

If Client cancels or terminates services with Results Digital, exclusivity for that market is released and Results Digital is free to work with other companies in that market, including former competitors of Client.

To maintain exclusivity status, Client must maintain a minimum of $1500 per month in active billable services with Results Digital. Failure to maintain this minimum may result in exclusivity being lifted at Results Digital’s discretion.

8. Non-Solicitation of Team Members

This section applies to all team members of Results Digital, whether employed or contracted, located in the United States or internationally (including but not limited to team members located abroad in any country).

Client agrees not to directly or indirectly hire, solicit, engage, contract with, or work in any capacity with any current or former employee, contractor, subcontractor, or representative of Results Digital — regardless of their location or employment classification — for a period of twenty-four (24) months following either:

• The termination of that individual’s relationship with Results Digital, OR
• The termination of Client’s relationship with Results Digital, whichever is later.

This restriction applies to any working relationship, including but not limited to: direct employment, independent contracting, freelance engagement, referral to a third party, or any other arrangement through which Client would receive services from or collaborate with a Results Digital team member outside of the Results Digital engagement.

Violations of this clause are subject to a fee equal to the greater of: (a) $25,000 per individual, or (b) 100% of the individual’s annualized total compensation at the time of violation. This fee is due and payable immediately upon violation.

This clause shall survive the termination of this Agreement.

9. Termination

• Either party may terminate services with 30 days’ written notice, except as provided below for the Website Design Subscription
• The Website Design Subscription (Section 3.8) may be cancelled by Client at any time, with cancellation effective at the end of the current billing cycle. No advance written notice period applies to this service
• Services continue through the end of the current billing cycle
• Upon termination, all on-site/off-site SEO assets (backlinks, citations, enhanced schema) will be removed
• All outstanding fees are due in full
• Transition documents and account access will be shared where applicable
• Results Digital reserves the right to terminate services at its sole discretion for violations of this Agreement or non-payment

10. Communication

• All clients receive a dedicated project manager
• Primary communication is via email
• Monthly reports and performance updates are shared proactively

11. Confidentiality

Both parties agree to maintain the confidentiality of proprietary strategies, pricing, campaign details, and any other non-public information exchanged under this Agreement. This obligation survives termination.

12. Disclaimers

All services are provided “as is” and “as available.” Results Digital makes no guarantees of specific search rankings, lead volume, or return on investment. While we apply proven strategies and best practices, marketing results depend on many external factors outside our control, including market conditions, seasonality, and platform algorithm changes.

13. Limitation of Liability

To the fullest extent permitted by law, Results Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use our services. Our maximum liability for any claim is limited to the amount paid by Client for the specific service in question during the 30-day period immediately prior to the claim.

14. Indemnification

Client agrees to defend, indemnify, and hold harmless Results Digital, its officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from Client’s use of the services, violation of this Agreement, or any breach of Client’s representations or obligations hereunder.

15. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles. Any legal disputes shall be brought exclusively in the state or federal courts located in Montgomery County, Texas. Both parties consent to personal jurisdiction in those courts.

16. Modifications

Results Digital may update these Terms from time to time. Updates will be posted at resultsdigitalus.com. Continued use of services after changes are posted constitutes Client’s agreement to the revised Terms. Material changes will be communicated via email to active clients.
